NRCHD Holdings Inc. and its affiliates d/b/a "Wyzly" ("we," "us" and "our") respects your privacy and is committed to the protection of personal data (defined below) that is made available to us.

This Privacy Policy describes, with respect to the Wyzly mobile application (the "App"), how and for which purposes we collect, store, use and disclose the following types of personal data:

  • User Data: relating to individuals (e.g., parents or legal guardians) who have downloaded the App and who are registered to use it. Our data processing practices with respect to information provided by children under the age of 13 are described below in our Children's Online Privacy Policy);
  • Visitor and Partner Data: relating to visitors of our website, participants at our events, any visitor or partner who visits or otherwise interacts with any of our website (https://www.wyzly.app), Wyzly online ads and content, e-mails or other communications under our control ("Sites", together with the App, the "Services").

If you are user, visitor or partner ("you") - please read this Privacy Policy carefully and make sure that you fully understand and agree to it.

You are not legally required to provide us with any personal data. If you do not wish to provide us with your personal data, or to have it processed by us or any of our Service Providers (as defined below), please do not provide it to us and avoid any interaction with us or with our Services.

1. Data Collection & Processing

When we use the terms "personal data" or "personal information" in this Privacy Policy, we mean information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, to an individual. It does not include aggregated or deidentified information that is maintained in a form that is not reasonably capable of being associated with or linked to an individual.

Types of personal data collected. We may collect or generate the following types of personal data about individuals through the Services:

(i) User Data: We may collect and generate the following types of personal data relating to Users:

  • User Profile Information: name, e-mail address, and Wyzly generated user and device ID;
  • Application Data (based on User access or permission and depending on your device settings): device information (such as your device type and model, mobile device ID, and manufacturer), operating system, application version information and system configuration; IP addresses and approximate location based upon such IP addresses (geolocation); device event information (such as system activity or error reports), analytics; App usage data;
  • Direct Interactions and Communications with Us: including recordings and transcripts of your calls, e-mails, form submissions and chats with us, e.g., for customer service, user enablement, feedback, support, training, participation in customer surveys or contests, record-keeping and legal-related purposes.

(iii) Visitor and Partner Data: We may collect and generate the following types of personal data concerning our visitors and partners:

  • Sites Usage Data: connectivity, technical and aggregated usage data and activity logs (date/time stamps associated with your usage, pages and files viewed, searches, and other actions you take such as which features you use), user agent, IP addresses and approximate location based upon such IP addresses (geolocation), device data (like type, OS, device id, browser version, locale, time-zone and language settings used), device event information (such as system activity or error reports) session recordings and analytics, and the cookies and pixels installed or utilized on their device;
  • Engagement Data: contact details, our communications (correspondences, call recordings, call transcripts, and analyses thereof), contractual and billing details as applicable, authorized signatories on behalf of visitors or partners; as well as any needs, preferences, attributes and insights, as identified to us or recognized as relevant for or through our engagement with them.

For the purposes of the California Consumer Privacy Act ("CCPA"), in the last 12 months, we have collected the following categories of personal information, as defined in the CCPA: identifiers; customer record information; internet or other electronic network activity information; professional or employment-related information; geolocation data; commercial information; inferences; and audio, electronic, visual, thermal, olfactory information.

Wyzly does not collect, use or disclose sensitive personal data for purposes of the CCPA as it relates to Users, Visitors, and Partners. See below our Children's Online Privacy Policy to learn more about our data processing practices with respect to information provided by children under the age of 13, which may be considered sensitive personal data under certain data protection laws, including the CCPA.

Categories of sources from which personal data is collected. We obtain personal data from the following categories of sources:

  • Data collected directly from you. We collect personal information that you voluntarily provide to us when you register on the Services, express an interest in obtaining information about us or our products and Services, when you participate in activities on the Services, or otherwise when you contact us.
  • Data that is automatically generated. We automatically collect certain information when you visit, use, or navigate the Services. This information does not reveal your specific identity (like your name or contact information) but may include device and usage information, such as your IP address, browser and device characteristics, operating system, language preferences, referring URLs, device name, country, location, information about how and when you use our Services, and other technical information. This information is primarily needed to maintain the security and operation of our Services, and for our internal analytics and reporting purposes.

2. Data Uses

We use personal data for the following business and commercial purposes:

User Personal Data

  • To facilitate, operate, enhance, and provide our Services including to facilitate account creation and authentication and to otherwise manage user accounts;
  • To provide assistance and support, to test and monitor the Services, or diagnose or fix technology problems;
  • To personalize our Services, including by recognizing an individual and remembering their information when they return to our Services, and to provide further localization and personalization capabilities;

User, Visitor, and Partner Data

  • To gain a better understanding on how individuals use and interact with our Services, which content and data they have processed through our Services, and how we could improve their and others' user experience and the value they can generate from using the Services, so we could continue improving our products, offerings and the overall performance of our Services;
  • To contact our partners, users and visitors with general or personalized service-related messages, as well as promotional messages that may be of specific interest to them;
  • To support and enhance our data security measures, including for the purposes of preventing and mitigating the risks of fraud, error or any illegal, criminal or prohibited activity;
  • To create aggregated statistical data, inferred non-personal data, or anonymized or pseudonymized data (rendered non-personal and non-identifiable), which we or our business partners may use to provide and improve our respective services, or for any other purpose;
  • To facilitate and optimize our marketing campaigns, ad management and sales operations, and to manage and deliver advertisements for our products and services more effectively, including to provide personalized ads and share data with our authorized service providers to support such activity;
  • To facilitate, sponsor and offer certain events, contests and promotions;
  • To enforce our Legal Terms, to resolve disputes, to carry out our obligations and enforce our rights, and to protect our business interests and the interests and rights of third parties;
  • To comply with our contractual and legal obligations and requirements, and maintain our compliance with applicable laws, regulations and standards.

3. Data Location and Transfers

We and our authorized Service Providers maintain, store and process personal data in Israel and the United States of America as reasonably necessary for the proper delivery and performance of our Services, or as may be required by law.

Since we operate globally and may use service providers worldwide, including in the US, Israel and other locations as reasonably necessary for the proper performance of our Services, or as may be required by law, we may transfer your personal data outside your country of residence.

While privacy laws may vary between jurisdictions, we are committed to protecting personal data in accordance with this Privacy Policy and customary industry standards, including adopting appropriate lawful mechanisms and contractual terms requiring adequate data protection, regardless of any lesser legal requirements that may apply in the jurisdiction to which such personal data is transferred.

4. Data Retention

We retain personal data for as long as we deem it as reasonably necessary in order to maintain and expand our relationship and provide you with our Services and offerings; in order to comply with our contractual obligations; as required by applicable law; or to protect ourselves from any potential disputes (i.e., as required by laws applicable to log-keeping, records and bookkeeping, and in order to have proof and evidence concerning our relationship, should any legal issues arise following your discontinuance of use), all in accordance with our data retention policy.

To determine the appropriate period for personal data, we consider the amount, nature, and sensitivity of the personal data, the potential risk of harm from unauthorized use or disclosure of your personal data, the purposes for which we process your personal data and the applicable legal requirements.

5. Data Disclosure

We disclose personal data in the following ways:

  • Service Providers: We engage selected third-party companies and individuals to perform services on our behalf or complementary to our own. Such service providers may include hosting and server co-location services, communications and content delivery networks (CDNs), data security services, billing and payment processing services, fraud detection and prevention services, web and product analytics, e-mail distribution and monitoring services, session or activity recording services, content transcription and analysis services, performance measurement, data optimization and marketing services, social and advertising networks, content and data enrichment providers, event production and hosting services, e-mail, voicemails, support, enablement and customer relation management systems, and our legal, financial and compliance advisors (collectively, "Service Providers"). Our Service Providers may have access to personal data, depending on each of their specific roles and purposes in facilitating and enhancing our Services, and may only use the data as instructed in our agreements with them.
  • Legal Compliance: We may disclose or allow government and law enforcement officials access to your personal data in response to a legal request, such as a subpoena, search warrant or court order (or similar requirement), or in compliance with applicable laws and regulations, with or without notice to you. Such disclosure or access may occur if we believe in good faith that: (a) we are legally compelled to do so; (b) disclosure is appropriate in connection with efforts to investigate, prevent, or take action regarding actual or suspected illegal activity, fraud, or other wrongdoing; or (c) such disclosure is required to protect our legitimate business interest, including the security or integrity of our products and Services.
  • Protecting Rights and Safety: We may disclose your personal data to others, if we believe in good faith that this will help protect the rights, property or personal safety of Wyzly, any of our visitors, users or partners, or any members of the general public.
  • Wyzly Subsidiaries and Affiliated Companies: We may disclose personal data internally to our affiliated companies, for the purposes described in this Privacy Policy. In addition, should Wyzly or any of its subsidiaries or affiliates undergo any change in control, including by means of merger, acquisition or purchase of substantially all of its assets, your personal data may be shared with the parties involved in such event. If we believe that such change in control might materially affect your personal data then stored with us, we will notify you of this event and the choices you may have via e-mail and/or prominent notice on our Services.
  • Additional Sharing: Wyzly may disclose your personal data in additional manners, pursuant to your explicit approval, or if we are legally obligated to do so, or if we have successfully rendered such data non-personal and anonymous. Additionally, we may transfer, share or otherwise use non-personal data at our sole discretion and without the need for further approval.

For the purposes of the CCPA, in the past 12 months, we may have disclosed identifiers; customer record information; internet or other electronic network activity information; professional or employment-related information; geolocation data; commercial information; inferences; and audio, electronic, visual, thermal, olfactory information to our Service Providers, Partnerships, for Legal Compliance, to Protect Rights and Safety or to Wyzly Subsidiaries and Affiliated Companies. We do so in pursuit of the business and commercial purposes described in Section 2 above.

We do not sell or share your personal information nor process your personal information for targeted advertising, for the intents and purposes of US state privacy laws.

6. Cookies and Data Collection Technologies

Our Services utilize "cookies", anonymous identifiers, pixels, container tags, and other technologies in order for us to provide our Services and ensure that they perform properly, to analyze our performance and promotional activities, and to personalize your experience. Such cookies and similar files or tags may also be temporarily placed on your device. Certain cookies and other technologies serve to recall personal data, such as an IP address, previously indicated by a user or other visitor.

Please note that certain web browsers may transmit "Do Not Track" signals to websites with which the browser communicates, telling the website not to follow its online movements. Because of differences in how web browsers interpret this feature and send those signals, and lack of standardization, we currently do not respond to such "Do Not Track" signals.

Please note that if you get a new device, install a new browser, erase or otherwise alter your browser's cookie file (including upgrading certain browsers), you may also clear any previously set cookie preferences, so re-selecting your preferences will be necessary.

7. Communications

Service Communications: Wyzly may contact you with important information regarding our Services. For example, we may notify you (through any of the means available to us) of changes or updates to our Services, service maintenance or changes, etc. You will not be able to opt-out of receiving such service communications while using our Services, as they are integral to such use.

Push Notifications: We may request to send you push notifications regarding your account or certain features of the application(s). If you wish to opt out from receiving these types of communications, you may turn them off in your device's settings.

Notifications and Promotional Communications: We may send you notifications concerning new features, offerings, events, and special opportunities or any other information we think you will find valuable. We may provide such notices through any of the contacts means available to us (e.g., phone, mobile or email), through the Services, or through our marketing campaigns on any other websites or platforms.

If you do not wish to receive such promotional communications, you may notify us at any time by sending an email to info@wyzly.app or by following the "unsubscribe", "stop" or "change marketing communication preferences" instructions contained in the promotional communications you receive.

8. Data Security

Wyzly and its Service Providers implement industry standards systems, applications, and procedures to secure your personal data, to minimize the risks of theft, damage, loss of information, or unauthorized access or use of information. However, please be aware that regardless of any security measures used or implemented, we cannot and do not guarantee the absolute protection and security of any personal data stored with us or with any third parties.

9. Data Subject Rights

Individuals have rights concerning their personal data. Please contact us by e-mail at: info@wyzly.app if you wish to exercise your privacy rights under any applicable law, such as the US State Privacy Laws, including, but not limited to the CCPA, Virginia Consumer Data Protection Act (VCDPA), the Colorado Privacy Act (CPA) and the Connecticut Data Privacy Act (CTDPA) as amended from time to time. Such rights may include – to the extent applicable – the right to know/request access to specific pieces of personal data collected; categories of personal data collected; categories of sources from whom the personal data was collected; purpose of collecting personal data; categories of third parties with whom we have shared personal data, to request correction or deletion of your personal data held with Wyzly, or to restrict or object to such personal data's processing (including the right to direct us not to sell or share your personal data to third parties or use your personal data for purposes of targeted advertising now or in the future, as applicable), or to port such personal data, or the right to equal services and prices (e.g., freedom from discrimination) (each to the extent available to you under the laws which apply to you).

To the extent applicable to you, you may also designate an authorized agent, in writing or through a power of attorney, to request to exercise your privacy rights on your behalf. The authorized agent may submit a request to exercise these rights by emailing us.

When you or an authorized agent ask us to exercise any of your rights, we may need to ask you to provide us certain credentials to make sure that you are who you claim you are, to avoid disclosure to you of personal data related to others and we may ask you to provide further information to better understand the nature and scope of your request. We may not be able to fulfil your request unless you have provided sufficient information that enables us to reasonably verify that you are the individual about whom we collected the personal data. We may then request additional information for legal purposes (e.g., as proof of the identity of the person submitting the request, or proof of request fulfillment).

We may redact from the data which we will make available to you, any personal data or confidential information related to others.

If you are a resident of certain states including Virginia, Colorado or Connecticut, you may also have the right to appeal if we decline to take action regarding your request. We will notify you providing our reasons and instructions for how you can appeal the decision. If you are a Colorado resident, you may also have the right to contact the Colorado Attorney General if you have concerns about the result of the appeal.

10. Additional Notices and Contact Details

Updates and Amendments: We may update and amend this Privacy Policy from time to time by posting an amended version on our Services. The amended version will be effective as of the published date. We will provide prior notice if we believe any substantial changes are involved via any of the communication means available to us or via the Services. After such notice period, all amendments to this Privacy Policy shall be deemed accepted by you.

External Links: While our Services may contain links or integrations to other websites, social networks or services, we are not responsible for their privacy practices, and encourage you to pay attention when you leave our Services for the website or services of such third parties, or interact with social network integrations. We recommend you read the privacy policies of each and every website and service you visit. This Privacy Policy only applies to our Services.

CHILDREN'S ONLINE PRIVACY POLICY

Wyzly is committed to protecting the privacy of children who use our Services. This Children's Online Privacy Policy explains our information collection, disclosure, and parental consent practices with respect to information regarding children under the age of 13 ("child" or "children").

Our mobile application, Wyzly, is designed to turn passive screen time into active learning, empowering kids to independently earn their digital playtime through age-appropriate learning tasks.

1. What Personal Data We Collect About and From Children

We collect personal data from or about children in the following instances:

Registration: When you, as a parent or legal guardian sign up for our App, you are also asked to set up your child's profile which includes collection of the following personal data points:

  • Child's name (can be a nickname) (required)
  • Child's date of birth (required)
  • Child's grade level (required)
  • Child's school name, city, and state (this is optional; if you provide us with information regarding your child's school, we may be able to provide your child with content tailored to their school curriculum).

Child Device Set-Up: In order to set up Wyzly on a child's device (or parent/family device used by the child), we request the following access permissions on the device:

  • Notification Permission (for notifying a child when their screen time is up) (required)
  • Screen Time Access (for tracking the child's permitted screen time) (required)
  • Camera Access (for one-time scanning of the set-up QR code on the parent's device) (optional, there are additional set-up methods that do not require camera access)

Usage: While the child is using Wyzly, we automatically collect certain personal data including:

  • Connectivity, technical and aggregated usage data and activity logs (questions answered correctly/incorrectly/skipped, times the device is locked or unlocked, screen time, and other actions the child takes such as which features used);
  • User agent, IP addresses and approximate location based upon such IP addresses (geolocation);
  • Device and mobile app data (like type, OS, device id, app version, browser version, locale, time-zone and language settings used);
  • Device event information (such as system activity or error reports); and
  • Analytics.

Wyzly does not collect from or require children to disclose more information than is reasonably necessary to use the App.

2. How We Use Children's Personal Data

We use the information we collect from your child to provide and support our services and as necessary for our business interests (such as to support internal operations).

We use registration data such as name, date of birth, and grade level to set up your child's profile, tailor content and questions appropriate to their age and grade level, and to wish your child a Happy Birthday through the App each year.

We use the access permissions described in Section 1 in order to set up your child's account and to support the App's primary purpose of managing your child's screen time.

We collect data relating to your child's usage of the App, including through automatic collection of persistent identifiers via technologies such as SDKs or cookies, in order to support our internal operations like: (1) to gain a better understanding on how children use and interact with the App; (2) to provide parents or guardians with feedback on their child's performance and use of the App; (3) to understand how we can improve their and others' user experience on the App.

We otherwise use the personal data we collect from your child (including persistent identifiers) to support internal operations such as to diagnose and troubleshoot technical issues; to protect the security and integrity of our users (including children) and the App; and to ensure regulatory, legal, and contractual compliance.

3. How We Share Children's Personal Data

  • Service Providers: We engage selected service providers as necessary to support the internal operations of the Wyzly App. Such services may include app development, user authentication, data storage, and analytics. Our service providers may only use children's personal data, including persistent identifiers as described above, as instructed in our agreements with them (i.e., only to support internal operations of the Wyzly App) and we require them to maintain the confidentiality, security and integrity of children's personal data.
  • Legal Compliance: We may disclose or allow government and law enforcement officials access to your personal data in response to a legal request, such as a subpoena, search warrant or court order (or similar requirement), or in compliance with applicable laws and regulations, with or without notice to you. Such disclosure or access may occur if we believe in good faith that: (a) we are legally compelled to do so; (b) disclosure is appropriate in connection with efforts to investigate, prevent, or take action regarding actual or suspected illegal activity, fraud, or other wrongdoing; or (c) such disclosure is required to protect our legitimate business interest, including the security or integrity of our App.
  • Protecting Rights and Safety: We may share your personal data with others, if we believe in good faith that this will help protect the rights, property or personal safety of Wyzly, any of our users, including children, or any members of the general public.
  • Wyzly Subsidiaries and Affiliated Companies: We may disclose personal data internally our affiliated companies. In addition, should Wyzly or any of its subsidiaries or affiliates undergo any change in control, including by means of merger, acquisition or purchase of substantially all of its assets, your child's personal data may be shared with the parties involved in such event. To the extent required by law, we will get parental consent before disclosing children's personal data under such circumstances, and will obtain the agreement of any applicable third party to maintain the confidentiality, security and integrity of such personal data.

Wyzly does not track children to serve them behaviorally targeted advertisements (also known as retargeting or online behavioral advertising), or allow others to do so. Wyzly does not sell children's personal data to third parties and does not share such personal data with third parties for the purposes of cross-context behavioral advertising.

4. Data Security and Retention

Wyzly and its service providers implement industry-standard measures to keep your child's personal data secure. However, please know that regardless of any security measures used or implemented, we cannot and do not guarantee the absolute protection and security of any personal data stored with us or by our service providers.

When we collect children's personal data, we keep that data only as long as necessary to provide our App's services. In other words, for as long as a parent or legal guardian chooses to keep an active Wyzly subscription and unless otherwise requested by such parent or legal guardian. A parent or guardian may securely delete a child's account and all associated personal data through the parent's account on the App. If a subscription to Wyzly is inactive for 24 months we will prompt the parent or legal guardian via email before deactivating the account and securely deleting the associated personal data. We do this in order to ensure that you have continued access to your Wyzly account and related information should you wish to return to it in the above established timeframe.

We reserve the right to keep certain information necessary for record-keeping to the extent permitted and/or required by law, including any statutory retention requirements.

5. Parents' Consent, Rights and Controls

Before we collect any children's personal data from a child, we ask for consent from the parent or legal guardian. Parents and legal guardians give consent before setting up their child's profile.

If you are the parent or legal guardian of a child using our App, you can ask us to:

  • Allow you to review your child's personal data;
  • Delete your child's Wyzly account or otherwise delete your child's personal data collected by Wyzly;
  • Revoke any consent you have given for your child;
  • Refuse further collection or use of your child's personal data

You may also agree to the collection and use of your child's personal data by Wyzly, but not allow disclosure to third parties (to the extent applicable) unless otherwise permitted by law.

You may exercise some of these rights directly via your parent Wyzly account, including review of certain personal data or deletion of your child's account. To exercise your rights otherwise, you can contact us at: info@wyzly.app

Depending on your state of residence, you (as a parent or legal guardian) may have the ability to exercise certain additional rights over your child's personal data. We will address these requests in accordance with applicable law and subject to proper validation.

6. Privacy Policy Updates

We may update and amend this Children's Online Privacy Policy from time to time by posting an amended version on our Services. For material changes, where required by law, we will notify (and if needed, obtain consent from) parents or legal guardians of children who use our App, in a manner permitted by law. The amended version will be effective as of the published date.
